BY ENTERING (OR OTHERWISE PARTICIPATING) IN THE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH CREATE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, SUCH CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO SPONSOR FROM YOU, A CLASS ACTION WAIVER, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

By entering the DemerBox x Pelican Giveaway (the “Giveaway”), you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements below.

1. SPONSORS

This Giveaway is co-sponsored by DemerBox, 14041 NW 8th St, Sunrise, FL 33325 and Pelican Products, Inc., 2325 Early Avenue, Torrance, CA 90505 (collectively referred to as the “Sponsors”).

2. ELIGIBILITY

The Giveaway is open only to legal residents of the United States including Alaska, Hawaii, and Puerto Rico who are at least 18 years of age or the age of majority in their jurisdiction of residence at the time of entry. Employees, officers, and directors of the Sponsors, their subsidiaries, affiliates, advertising and promotion agencies, and immediate family members or household members of each are not eligible to participate.

Void where prohibited or restricted by law.

3. GIVEAWAY PERIOD

The Giveaway begins on June 25th, 2025 and ends on July 1st, 2025 (the “Giveaway Period”). Entries submitted before or after the Giveaway Period will not be eligible.

4. HOW TO ENTER

To enter, participants must:

• Follow both @DemerBox and @Pelican on Instagram.
  

• Submit a valid entry form via https://demerbox.com/pages/pelican-giveaway including full name, phone number, email address, and mailing address.
  
  

Only one entry per person is allowed. Entries that are incomplete or contain false information will be disqualified.

5. PRIZE

One (1) winner will receive the following prize package:

• One (1) Pelican 20 Qt. Cooler in Americana Colorway (ARV: $149.95)
  

• One (1) DemerBox DB2 Bluetooth Speaker in a Limited Edition USA Theme (ARV: $429)

Prizes are non-transferable, and no substitution will be made except as provided herein at the Sponsors’ sole discretion. Sponsors reserve the right to substitute a prize of equal or greater value if the designated prize becomes unavailable. Taxes on prizes are the sole responsibility of the winner. For prizes $600 or more in value to an individual winner in a calendar year, winner’s social security number or taxpayer ID will be required in order to issue a Form 1099-MISC showing prize ARV as income to winner. Prize consists only of items specifically listed as part of the prize. All costs and expenses not specified herein related to any prize and other expenses incurred by accepting the prize, are the sole responsibility of the winner.

6. WINNER SELECTION AND NOTIFICATION

The winner will be selected at random from all eligible entries received during the Giveaway Period. The drawing will take place on or about June 26, 2025. The winner will be notified via the contact information provided on the entry form within five (5) business days of the drawing.

If a potential winner does not respond within 72 hours of notification or fails to comply with these Official Rules, the Sponsors may select an alternate winner.

7. DATA COLLECTION & PRIVACY

By entering this Giveaway, participants agree to provide their name, email, phone number, and mailing address to the Sponsors for the purpose of administering the Giveaway and for marketing communications, subject to each Sponsor’s respective privacy policies:

Participants may unsubscribe from marketing communications at any time.

8. GENERAL CONDITIONS

Sponsors reserve the right, in their sole and absolute discretion, to cancel, suspend, or modify the Giveaway at any time for any reason, including but not limited to fraud, technical malfunctions, system errors, unauthorized human intervention, fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any governmental act, or any other cause that may compromise the fairness, security, or proper administration of the Giveaway. In such event, Sponsors may, in their sole discretion, determine the winners from among all eligible entries received prior to the action taken.

Sponsors further reserve the right to disqualify any individual who tampers with or attempts to interfere with the entry process, the operation of the Giveaway, or violates these Official Rules, the applicable platform’s terms of use, or engages in any conduct deemed by Sponsors, in their sole discretion, to be unfair, inappropriate, or disruptive.

The Sponsors’ failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

9. RELEASE AND LIMITATION OF LIABILITY

By participating, entrants agree to release and hold harmless the Sponsors, Instagram, and their respective subsidiaries, affiliates, advertising and promotion agencies, and their respective officers, directors, employees, and agents from and against any injury, loss, or damage to person, including death, or to property, claim or cause of action arising out of participation in the Giveaway or receipt or use of any prize. Entrants further understand and agree that all rights under Section 1542 of the Civil Code of California (“Section 1542”) and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrants acknowledge that Section 1542 provides that: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

The Giveaway is in no way sponsored, endorsed, or administered by, or associated with, Instagram. By entering, you are providing your information to the Sponsors, not to Instagram.

10. DISPUTES

EACH ENTRANT AGREES THAT (1) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THIS SWEEPSTAKES, OR ANY PRIZE AWARDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND ANY JUDICIAL PROCEEDING SHALL TAKE PLACE IN A FEDERAL OR STATE COURT IN LOS ANGELES COUNTY, CALIFORNIA; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES, BUT IN NO EVENT ATTORNEYS’ FEES; AND (3) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the laws of the State of California without regard to its conflict of law principles.
